1. Scope
These terms govern all quotes, order confirmations and sales of saffron and related goods by Fortune Retail LLC ("Seller") to business buyers ("Buyer"). saffronwholesale.com is a wholesale-only platform; the site is not directed at consumers.
2. Quotes and orders
- Quotes are valid for 14 days unless otherwise stated.
- Minimum order quantity is 2kg per grade.
- A binding contract is formed only upon Seller's written order confirmation.
3. Pricing and payment
- Prices are quoted in USD, exclusive of taxes, duties and freight unless explicitly DDP.
- Standard payment terms: 50% deposit on order confirmation, 50% prior to dispatch. Letter of credit available for established accounts.
- Overdue amounts accrue interest at 1.5% per month or the maximum permitted by law.
4. Incoterms, title and risk
Sales are made under Incoterms 2020 — DDP, FOB or EXW as stated on the order confirmation. Risk passes to Buyer in accordance with the applicable Incoterm. Title passes only upon receipt of full payment.
5. Specifications and tolerances
Goods conform to ISO 3632:2011 within commercially reasonable tolerances stated on the certificate of analysis. Saffron is a natural agricultural product; minor variation between lots is normal and does not constitute non-conformity.
6. Inspection and claims
Buyer must inspect goods on delivery. Claims for shortage, damage or non-conformity must be submitted in writing within 7 days of delivery, supported by photographs and, where relevant, third-party lab results. See our Returns & Claims policy.
7. Limitation of liability
To the maximum extent permitted by law, Seller's aggregate liability for any claim shall not exceed the invoiced value of the goods giving rise to the claim. Seller is not liable for indirect or consequential losses (loss of profit, business interruption, reputational damage).
8. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including war, sanctions, export controls, natural disasters, epidemic, freight disruption or government action.
9. Compliance
Buyer warrants compliance with all applicable import, food-safety, labelling, sanctions and anti-corruption laws in the destination market.
10. Governing law and disputes
These terms are governed by the laws of the State of New York, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. The state and federal courts located in New York County, New York have exclusive jurisdiction.
